A public limited company is the form required before shares or debentures can be offered to the public, and the form a company must convert into before it can list. It needs a minimum of seven shareholders and three directors, with no cap on the number of members.
The trade-off is governance. A public company faces stricter board composition rules, must hold an annual general meeting on prescribed terms, files more with the Registrar, and above certain thresholds needs independent directors, an audit committee and a company secretary.
For most businesses this is premature. It is the right form when you are preparing for a public issue, when a regulator requires it, or when the shareholder count has genuinely outgrown the two-hundred-member limit a private company must respect.

Does a public limited company have to be listed?
No. "Public" describes the ability to offer shares to the public, not the fact of being traded. Many public limited companies are unlisted — but only a public company can list, which is why conversion precedes an IPO.
