Add or Remove a Director
DIR-12, filed within thirty days.
An appointment needs a board resolution and, in most cases, ratification by the members; a resignation takes effect on the date stated in the notice or the date it is received, whichever is later.
Either way DIR-12 has to be filed within thirty days. Late filing carries additional fees that multiply with the delay.
A resigning director can also file DIR-11 themselves, which is worth doing if the company is slow — it puts the resignation on record independently of whether the company files.
