Changing a name is a members' decision: a board resolution, then a special resolution in general meeting, then MGT-14 within thirty days and INC-24 for the central government approval.

The new name has to clear the same availability tests as a fresh incorporation, so it is worth checking against the trademark register before you call the meeting.

The company's identity does not change — the CIN, PAN and contracts all survive — but PAN, TAN, GST, bank accounts and licences all have to be updated afterwards, and that is the part that gets forgotten.

Questions

Does changing the company name affect existing contracts?

No. The company remains the same legal person with the same CIN and PAN, and contracts continue. What does need updating is every registration and account in the old name — GST, bank, licences, and your invoices.
