Dormant Company Status

Pause a company you are not ready to close.

A company formed for a future project, or holding intellectual property or an asset, but not trading, can apply for dormant status rather than keep filing as an active company or close entirely.

It reduces the compliance load — fewer board meetings, a simplified annual return in MSC-3 — without giving up the entity. It can be kept dormant for up to five consecutive years, after which the Registrar may strike it off.

Dormant status or strike off?

Dormant if you intend to use the company again, or it holds a name, an asset or IP worth keeping. Strike off if you are finished with it — dormant status still carries an annual filing and can only run five years.
